PTBoard is a productivity web site that helps parents manage their school involvement and their children’s activities with effective and efficient communication and collaboration. The ptboard service and network (collectively, "ptboard " or the "Service") are operated by PTBoard, Inc. and its corporate affiliates (collectively, "us", "we" or the "Company"). By accessing or using our web site or Service at www.ptboard.com (the "Site") or by clicking on the “I Agree” checkbox, you signify that you have read, understand and agree to be bound by these Terms of Use and related documents, including any subsequent changes or modifications thereto (collectively, "Terms of Use"), whether or not you are a registered member of ptboard. This Service is not intended for use by children under the age of 13. By accessing or using the Site, you represent to us that you have given permission to your child or children who are at least 13 years old to access and use this Site.

We reserve the right, at our sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. Any new features related to the Site, including the release of new tools and or resources, shall be subject to these Terms of Use. Your continued use of ptboard after any such changes or additional features constitutes your consent to the changes to these Terms of Use. Subsequent versions of these Terms of Use will be posted on this page and will indicate at the top of the page the date these terms were last revised. It is your responsibility to check the Site to determine if there have been changes to these Terms of Use and to review such changes.

Violation of these Terms of Use below will result in the termination of your account. We are not responsible for the Content posted on the Site. You agree to use the Site at your own risk. References to our "partners" in these Terms of Use include our owners, affiliates, officers, directors, suppliers, licensors, partners, sponsors, and advertisers, and include all parties involved in creating, producing, and/or delivering this Site.

User Data and Privacy

To access the Site, you are required to create and use your unique account and password as prompted when completing our online registration form, which requests certain information and data ("Data"), and maintaining and updating your Data as required. You agree that all information you provide as Data (i) is your own personal information; (ii) is true and accurate; and (iii) that you will maintain and update this Data as needed in order to keep it current, complete, and accurate at all times.

Intellectual Property Materials and Access to Site

This Site contains trademarks, copyrighted or copyrightable material and other intellectual property (collectively, the "Materials") including, but not limited to, designs, text, graphics, pictures, video, information, other files, and their selection and arrangement, and related content and/or services and are the sole and exclusive property of ptboard and/or its licensors. We have the sole right to modify or discontinue the Site and/or its Materials at any time with or without notice to you. We are not liable to you or any third party if we exercise this right.

Ptboard grants you a non-exclusive, limited license to access and review the Materials for your information purposes only. This license does not include the right to: (a) use the Service or Materials for other than for its intended purpose, including, but not limited to, any marketing, selling, or other commercial uses; (b) use framing techniques to enclose any portion of the Service, including any images found on the Service or any text or the layout or design of any page or form contained on a page; (c) publish, publicly perform or display, or distribute to any third party any Materials, including reproduction or hosting the Materials on any computer network or broadcast or publications media; (d) make derivative uses of the Service or the Materials; or (e) any systematic collection or extraction of data through the use of any data mining, robots or similar data gathering or extraction methods.

No other right or license is hereby conveyed, by implication, estoppel or otherwise, in or under any patent, trademark, or proprietary right of ptboard or any third party. Any unauthorized use of the Service will terminate the permission or license granted by ptboard to you under this Terms of Use and may violate applicable law, including but not limited to copyright laws, trademark laws (including trade dress), and communications regulations and statutes.

You are solely responsible for obtaining, at your own expense, all equipment necessary to access and use the Site, and for paying all internet access, registration and other fees.

Content and Conduct

Your use of the Site is subject to all applicable laws and regulations. By using the Site to communicate and/or by posting information on the Site or by using any communications service, forum, discussion, photo sharing, document sharing, signup, invitation, calendar, announcement, or other interactive service that may be available to you on or through this Site, you agree that you will not upload, download, use, share, post, or otherwise disclose, distribute or facilitate distribution of anything in any form that:

We do not assume any liability of any kind for content uploaded or submitted by you or by third party users of the Site ("User Content"). In general, we do not screen, monitor, approve of or edit User Content. However, we and our partners have the unilateral right to remove any User Content that, in our judgment, does not comply with these Terms of Use and any other rules of user conduct for this Site, or is otherwise harmful, objectionable, or inaccurate, though we are not responsible for any failure or delay in removing such User Content. You hereby waive any claim against us arising out of such removal of User Content.

If you upload or make available User Content, you represent and warrant that (i) you have the necessary rights to provide the User Content and permit us and our partners to use such User Content; and (ii) the User Content will not infringe or misappropriate infringes another party’s copyrights, moral rights, patents, trademarks or trade secrets. You are and shall remain responsible to pay any fees arising from the User Content you upload or make available.

You agree not to (i) misrepresent your identity or impersonate any person; (ii) copy, sell, resell or exploit any part of the Site or its Content other than as expressly allowed under these Terms of Use; (iii) use our or our partners’ names, logos or other intellectual property in connection with unsolicited communications; or (iv) use any automated or electronic means (such as robots, crawlers, scripts or web-scrapers) to access the Site; or (v) use any means (such as framing or pop-ups) to affect how the Site is displayed; or (vi) interfere in any way with anyone else’s use and enjoyment of the Site. Also, you must not breach security of another account or attempt to gain unauthorized access to another network or server, or to an area of the Site that may be unavailable to you.

Users who violate this Section of these Terms of Use may incur criminal or civil liability. You agree that we may at any time, and at our sole discretion, terminate your account or other affiliation with our Site without prior notice to you if we have reason to believe that you have violated these Terms of Use. In addition, you acknowledge that we will cooperate fully with investigations of systems or network security violations, including law enforcement authorities in investigating suspected criminal violations.

Third Party Sites and Information

This Site may contain (i) links to other sites on the Internet; or (ii) content, data, documents, software, materials and/or services provided by other parties (collectively, "Third Party Materials") that may offend some people. These Third Party Materials are not under our control and we are not responsible for the Third Party Materials in any way, nor are we claiming or implying any endorsement of, or association with, the Third Party Materials or their creators.

Intellectual Property Infringement

ptboard respects the intellectual property of others, and we ask our users to do the same. ptboard may, in appropriate circumstances and at its discretion, terminate the access or accounts of users who infringe the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement or any other violation of your rights, please provide ptboard with the following information:

1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright.

2. Identification of the copyrighted work that you claim has been infringed.

3. Identification of the material that is claimed to be infringing and information sufficient to allow us to locate the material.

4. Your address, telephone number, and e-mail address.

5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

6. A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Use of Materials

Subject to our Privacy Policy, any communication or material that you transmit to this Site or to us, whether by electronic mail, post, or other means, for any reason, will be treated as non-confidential and non-proprietary. This includes your suggestions, ideas and input about the Site. While you retain the rights in such communications or material, you grant us and our partners a non-exclusive, paid-up, perpetual, and worldwide right to copy, distribute, display, perform, publish, translate, adapt, modify, and otherwise use such material for any purpose regardless of the form or medium (now known or not currently known) in which it is used.

Please do not submit confidential or proprietary information to us unless we have mutually agreed in writing otherwise.

Ptboard’s aggregate liability for any actual and direct damages hereunder shall not exceed the amounts you paid to ptboard. You acknowledge that this is a reasonable allocation of risk for your use of the Site.

Indemnification

You shall defend, indemnify, and hold us and our partners harmless from all liabilities, claims, and expenses, including attorneys’ fees, which arise from your acts, omissions, use or misuse of the Site. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Choice of Law

You agree that the Service shall be deemed based solely in Virginia. These Terms of Use shall be governed by the substantive laws of the Commonwealth of Virginia, without respect to its conflict of laws principles.

Password; Security

You alone are responsible for maintaining the confidentiality of your password and account and for any acts or omissions that occur through the use of your password and account. Therefore, you must take steps to ensure that others do not gain access to your password and account. Passwords in our system are one-way encrypted; our personnel do not know your password and will never ask you for your password. You may not transfer or share your account with anyone outside of your immediate household, and we reserve the right to immediately terminate your account if you transfer or share your account.

ptboard Payments Service Acceptable Use Policy

You are independently responsible for complying with all applicable laws in all of your actions related to your use of ptboard's payment service, regardless of the purpose of the use. In addition, you must adhere to the terms of this Acceptable Use Policy.

ptboard receives a contractually-based percentage of each monetary transaction initiated through the Site.
